These Terms of Service ("Terms") govern your use of deBRIEFed and related services ("Service") provided by Textronics ("we", "our", or "us").

By using our Service, you agree to these Terms.

1. Service Description

deBRIEFed is a document processing tool that:

Extracts actionable tasks from text documents
Integrates with project management tools (Microsoft Teams/Planner, and others)
Provides AI-powered task organization

2. Account Registration

To use the Service, you must:

Provide accurate account information
Be authorized to act on behalf of your organization
Maintain the security of your account credentials
Be at least 16 years of age

You are responsible for all activity under your account.

3. Acceptable Use

You agree NOT to:

Use the Service for illegal purposes
Submit content that infringes intellectual property rights
Attempt to reverse engineer or exploit the Service
Interfere with the Service's operation or security
Resell or redistribute the Service without authorization
Use the Service to process content that is illegal, harmful, or violates third-party rights

4. Your Content

You retain ownership of documents you submit to the Service.

By using the Service, you grant us a limited license to:

Process your documents to provide the Service
Temporarily store content as necessary for processing

We do NOT:

Claim ownership of your content
Use your content to train AI models
Share your content with third parties (except as needed to provide the Service)

5. Subscription and Payment

Pricing

$99/month per organization (or $79/month billed annually)
Unlimited team members included
100 briefs processed per month

Billing

Subscriptions are billed in advance
Payment is due at the start of each billing period
All fees are non-refundable except as required by law

Changes to Pricing

We may change pricing with 30 days notice
Price changes do not affect current billing periods

6. Free Trial

14-day free trial available
No credit card required for trial
Trial converts to paid subscription only if you choose to subscribe

7. Cancellation

You may cancel your subscription at any time:

Access continues until the end of your billing period
No refunds for partial billing periods
Your data will be deleted within 30 days of cancellation

8. Service Availability

We strive for high availability but do not guarantee uninterrupted service.

We may:

Perform scheduled maintenance (with advance notice when possible)
Suspend service for security or legal reasons
Modify or discontinue features with reasonable notice

9. Intellectual Property

The Service, including its software, design, and documentation, is owned by Textronics and protected by intellectual property laws.

You may not copy, modify, or distribute any part of the Service without our written permission.

10. Third-Party Integrations

The Service integrates with third-party platforms (e.g., Microsoft Teams).

Third-party services are governed by their own terms
We are not responsible for third-party service availability or changes
You must comply with third-party terms when using integrations

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

We do not warrant that:

The Service will meet your specific requirements
The Service will be uninterrupted or error-free
AI-extracted tasks will be 100% accurate

You should review extracted tasks before acting on them.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Our liability is limited to the amount you paid us in the 12 months before the claim
We are not liable for indirect, incidental, or consequential damages
We are not liable for loss of data, profits, or business opportunities

13. Indemnification

You agree to indemnify Textronics from claims arising from:

Your use of the Service
Your violation of these Terms
Your violation of third-party rights

14. Changes to Terms

We may update these Terms. We will notify you of significant changes via email or service notification.

Continued use after changes constitutes acceptance of new Terms.

15. Termination

We may terminate or suspend your account if you:

Violate these Terms
Fail to pay fees when due
Engage in fraudulent or illegal activity

Upon termination, your right to use the Service ends immediately.

16. Governing Law

These Terms are governed by applicable laws. Disputes will be resolved in the appropriate jurisdiction.

17. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and Textronics
Severability: If any provision is unenforceable, other provisions remain in effect
No Waiver: Failure to enforce a provision does not waive our right to enforce it later
Assignment: You may not assign your rights under these Terms without our consent
